ad pepper media International N.V. sells mediasquares to Ströer Digital Media GmbH

Nuremberg/Amsterdam, September 17, 2014

ad pepper media GmbH, Hamburg, a wholly-owned subsidiary of ad pepper media International N.V., today reached agreement with Ströer Digital Media GmbH, Hamburg, concerning the sale of its “mediasquares”-online sales house business. The ad pepper media group is thus withdrawing from the German online sales house business and pressing consistently ahead with its strategy of focusing on its core business performance marketing.

ad pepper media GmbH will receive an initial purchase price component of EUR 400,000 from the sale immediately. The company should then receive further purchase price components in January and April 2016. The materialization and amount of these payments will be based on earnings generated at the sold business operation in the period through to the end of the 2015 financial year. Based on current estimates, these payments are together expected to be similar in scale to the initial purchase price component.

Furthermore, the two parties have agreed to cooperate closely in jointly utilizing collectively gathered data.
