ad pepper media International N.V. sells Emediate to Cxense

Nuremberg/Amsterdam, November 15, 2013 – ad pepper media international N.V. today agreed the sale of its Danish subsidiary Emediate ApS, Copenhagen, to the Norwegian web-based solution provider Cxense AS, Oslo. ad pepper media will thus be completely withdrawing from the business of developing and selling self-developed ad-serving solutions. The two companies at the same time agreed the ongoing use of Emediate’s ad server by the ad pepper media Group. ad pepper media is thus consistently pressing ahead with its strategy of focusing on its core performance marketing business field and largely foregoing proprietary technology development.

ad pepper media is disposing of 100 percent of the shares in Emediate ApS with economic effect as of November 01, 2013. The purchase price totals EUR 7.4 million (cash and debt free), of which a portion of roughly EUR 6.4 million (EBT) will already impact on earnings and liquidity in the current financial year.

Emediate ApS contributed around EUR 900k to the EBITDA and EUR 4,400k to the sales of the ad pepper media Group in the 2012 financial year.
